IN NO EVENT SHALL PIZZA RANCH'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE USE OF THE WEBSITE AND SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO PIZZA RANCH IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00).

The limitations set forth above reflect a reasonable allocation of risk and form an essential basis of the bargain between you and Pizza Ranch. These limitations shall apply notwithstanding any failure of essential purpose of any limited remedy and to the fullest extent permitted by law.

8. Indemnification

You agree to defend, indemnify, and hold harmless Pizza Ranch and its respective owners, officers, directors, employees, agents, licensors, suppliers, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

10. Dispute Resolution

10.1 Informal Resolution

We will make good-faith efforts to resolve the dispute within thirty (30) days of receiving your written notice. YOU AND PIZZA RANCH AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, REPRESENTATIVE, OR MULTI-PLAINTIFF ACTION. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

10.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights, confidential information, or other proprietary rights, without waiving the right to arbitrate all other disputes.

10.5 Small Claims Court

As an alternative to arbitration, either party may bring an individual action in small claims court in the jurisdiction where you reside or where the transaction occurred, provided the dispute meets the requirements of such court.

11. Term and Termination
